End User License Agreement

This End User License Agreement ("Agreement") is between Constructive Solutions LLC, a Texas limited liability company ("Company," "we," "us"), and the client company using an app built or supported by Constructive Apps ("Client," "you").

1. License grant

Subject to your service agreement with us and this Agreement, we grant you a limited, non-exclusive, non-transferable license to use the app we've built for you, solely for your internal business operations, for as long as your service agreement with us is active.

2. Ownership

We (or our implementation partner, where applicable) own the app itself — the software, code, and design. Using the app doesn't transfer any ownership of it to you. You keep ownership of the data you and your team put into the app, including logs, photos, quantities, orders, and similar records.

3. Permitted use

You may use the app for your own business only. You may not resell it, sublicense it, reverse-engineer it, or use it to build a competing product.

4. Third-party platforms

If your app is built on or connects to Odoo, QuickBooks, or another third-party platform, your use of those platforms is also governed by that provider's own terms.

5. Support

We provide support and updates as described in your service retainer with us.

6. Term and termination

This Agreement lasts as long as your underlying service agreement with us. It ends if that agreement ends, or if you materially breach this Agreement and don't remedy it after we notify you.

7. No warranty

The app is provided "as is." We don't guarantee it will be uninterrupted or error-free.

8. Limitation of liability

Flag for your attorney: liability caps are usually negotiated case by case and depend on your insurance and risk tolerance. The line below is a placeholder, not a recommendation.

Our liability under this Agreement is limited to the fees you've paid us in the prior 12 months, and we're not liable for indirect or consequential damages.

9. Governing law

This Agreement is governed by the laws of the State of Texas.

10. Changes

We may update this Agreement from time to time. We'll notify you of material changes.
